Terms & Conditions

Last updated: 10/2026

1. Scope and Definitions

  • These Terms and Conditions ("Terms") apply to all contracts for CommuniCore licences and CommuniCoach coaching services and to the use of the WebLAB platform. Deviating terms of the customer do not apply unless we have expressly agreed to them in writing. Individual agreements (e.g. a Master Service Agreement, "MSA", or an accepted offer) take precedence over these Terms.
  • In these Terms:
    • "Communicate", "we", "us" means Communicue K.K. or Communicue Pte. Ltd., depending on which company is the contracting partner under Section 2.
    • "Customer" means the organisation or individual who books and pays for the services.
    • "Participant" means the person who uses the WebLAB or takes part in coaching. Customer and Participant may be the same person.
    • "Business Customer" means a customer acting in the exercise of its trade, business or profession; "Consumer" means an individual booking for private purposes.
  • Our services are primarily aimed at Business Customers. Where Consumers book (e.g. open groups or 1on1 coaching), the additional provisions in Section 17 apply and take precedence.

2. Contracting Parties

  • CommuniCore licences and WebLAB: Communicue Pte. Ltd., Singapore, owner of all intellectual property rights, the Communicue brand and the WebLAB platform. Invoices for licences are issued by Communicue Pte. Ltd.
  • CommuniCoach coaching services: Communicue K.K. (株式会社 Communicue), Tokyo, Japan. Invoices for coaching are issued by Communicue K.K.

If you book both services, you conclude two separate contracts and receive two invoices. Each company is solely responsible for the services it provides.

3. Services

  • CommuniCore is a self-paced e-learning programme delivered via the WebLAB platform in English, German and Japanese. It is based on guided self-reflection and results in a personal communication profile and a certificate of completion.
  • CommuniCoach consists of expert-led live coaching building on CommuniCore. Each level comprises 12 hours of training (3 sessions of 4 hours each), delivered online or in person. CommuniCoach is offered as:
    • Open groups (Personal Development): groups of 3 to 9 participants from different organisations, booked individually;
    • In-house programmes: closed groups for a single organisation, tailored to its internal cases;
    • 1on1 coaching: individual coaching with flexible scheduling.
  • Completion of CommuniCore is a prerequisite for CommuniCoach. Participants must complete CommuniCore no later than 7 days before their first coaching session. If a participant has not completed CommuniCore by then, we may move the participant to a later date; the fees remain payable.
  • The details of the services result from the respective offer and service description on our website at the time of booking.

4. Conclusion of Contract

  • The presentation of our services on the website does not constitute a binding offer. A contract is concluded when we accept the customer's booking or order in writing (including by email), or when the customer accepts our written offer.
  • For open groups and 1on1 coaching booked online, the contract is concluded with our booking confirmation by email.

5. Prices and Payment

  • The prices stated in our offer or, for online bookings, on our website at the time of booking apply. Prices for Business Customers are exclusive of applicable taxes (e.g. consumption tax, GST, VAT); prices for Consumers include applicable taxes.
  • Unless otherwise agreed in writing, invoices are payable as follows:
    • Customers in Japan: by the end of the month following the invoice date;
    • Customers in Singapore, Europe, the United States and all other countries: within 30 days of the invoice date.
  • If the customer is in default of payment, we may charge statutory default interest and suspend access to the WebLAB and participation in coaching until payment has been received, after prior notice.

6. CommuniCore Licences and Use of the WebLAB

  • Licences are sold as packages of individual access codes. Each access code may be used by one participant only. Once a code has been redeemed, it cannot be transferred to another person. Unredeemed codes may be passed on within the customer's organisation.
  • Access to the WebLAB is always available. Unredeemed codes do not expire.
  • Participants must keep their login data confidential and may not share their access with others, copy or extract content systematically, or interfere with the operation of the platform.
  • We may suspend access in the event of serious or repeated violations.
  • We strive for high availability of the WebLAB but cannot guarantee uninterrupted availability. Planned maintenance will be announced in advance where possible.

7. Delivery of Coaching

  • Coaching takes place on the agreed dates, either online or at the agreed location.
  • If an in-person session cannot take place due to circumstances beyond our control (e.g. illness of the coach, natural disaster, official restrictions), we may hold it online or postpone it. We will inform the customer in writing as early as possible.
  • Minimum number of participants (open groups): Open groups take place with at least 3 participants. If this number is not reached, we may postpone the group or cancel it no later than [10] days before the first session. In the event of cancellation, any fees already paid will be refunded in full; alternatively, the participant may switch to another date.
  • We may change the coach for important reasons, provided that the qualification remains equivalent.
  • Participants are responsible for the technical requirements for online sessions (stable internet connection, camera, microphone).

8. Cancellation by the Customer

Unless otherwise agreed in an MSA, the following applies:

  • CommuniCore: Once access codes have been provided, licence fees are non-refundable.
  • CommuniCoach: Cancellations must be made in writing (email is sufficient). Decisive is the time of receipt before the first session of the booked level:
    • up to 14 days before: free of charge;
    • less than 14 days and up to 48 hours before: 50% of the fee;
    • less than 48 hours before or no-show: 100% of the fee.
  • Substitute participant: Instead of cancelling, the customer may name a substitute participant free of charge at any time before the start of the level, provided the substitute has completed CommuniCore.
  • 1on1 sessions can be rescheduled free of charge up to 48 hours before the session. In the event of later cancellation or no-show, the session is charged in full.
  • In-house programmes: Dates can be rescheduled free of charge up to 30 days before the session. The cancellation terms of Section 8.2 apply accordingly to the programme as a whole.
  • The customer is free to prove that we incurred no or significantly lower costs.

9. Missed Sessions

  • If a participant cannot attend a booked session due to illness, injury or similar circumstances and notifies us before the session starts, the participant may make up the missed session free of charge in an open group (Personal Development) on a corresponding topic. We may request a medical certificate.
  • Missed sessions must be made up within 12 months of the originally booked session, subject to available places. If no suitable open group is available within this period, we will offer an alternative date (e.g. online or 1on1 for the corresponding duration).
  • Apart from this, missed sessions do not entitle the participant to a refund.

10. Code of Conduct

  • Our coaching is based on a psychologically safe, non-judgmental learning space. All participants are expected to treat each other with respect.
  • We may exclude a participant from a session or programme if the participant seriously or repeatedly disrupts the session or violates the rights or well-being of others. In this case, there is no claim to a refund.

11. Confidentiality

  • We treat all confidential information of the customer, in particular internal company cases discussed in in-house programmes, strictly confidentially and use it solely for the delivery of the services. This obligation continues after the end of the contract.
  • Our coaches do not pass on any personal content from the sessions to the customer or employer. Reports to the customer are limited to registration, completion of CommuniCore and attendance, unless the participant expressly agrees otherwise.
  • Participants undertake to treat personal information shared by other participants in group sessions confidentially and not to pass it on.
  • The customer treats our offers, pricing and materials confidentially.

12. Intellectual Property and Use of Materials

  • All rights to the Communicue brand, the Communicue Communication Model, the training methods, the WebLAB and all training materials (texts, exercises, graphics, videos, handouts) belong exclusively to Communicue Pte. Ltd.
  • Participants receive a simple, non-transferable right to use the materials for their personal learning for the duration of the contract and thereafter for their own use. Business Customers may use them for internal purposes only.
  • Without our prior written consent, it is not permitted to copy, distribute, publish, translate, record or use the materials, in whole or in part, for one's own training, coaching or consulting services or for the training of third parties.

13. Recordings

Audio or video recordings of sessions by participants, customers or us require the prior consent of all persons concerned. Details are set out in our Privacy Policy.

14. Liability

  • We are liable without limitation for intent and gross negligence, for injury to life, body or health, and where mandatory statutory liability applies.
  • In the event of slight negligence, we are only liable for the breach of essential contractual obligations, limited to the foreseeable damage typical for this type of contract. Towards Business Customers, liability in such cases is further limited to the amount of the fees paid under the respective contract in the 12 months preceding the damaging event, and liability for indirect damages and lost profit is excluded.
  • Our coaching is not a substitute for medical, therapeutic or psychological treatment.
  • Neither party is liable for delays or non-performance caused by force majeure (e.g. natural disasters, pandemics, official orders, war, strikes, failure of public infrastructure). In this case, the affected party will inform the other party without delay; we will offer a replacement date or online delivery, and fees already paid for services that cannot be provided will be refunded.

15. Data Protection

We process personal data in accordance with our Privacy Policy, which is available at www.communicue.com/privacy-policy.

16. Term of Licence Packages and MSAs

Unless otherwise agreed, contracts for individual levels end with the completion of the level. Framework agreements (MSAs) may be terminated in accordance with their terms.

17. Additional Provisions for Consumers

If you are a Consumer resident in the EU/EEA, you have the right to withdraw from the contract within 14 days without giving any reason. The withdrawal period is 14 days from the day the contract is concluded. To exercise your right of withdrawal, you must inform us (Communicue K.K. or Communicue Pte. Ltd., contact@communicue.com, address as in our Legal Notice) by means of a clear statement (e.g. an email) of your decision to withdraw. You may use the model withdrawal form in the Annex, but this is not obligatory. To meet the withdrawal deadline, it is sufficient to send your notice before the withdrawal period has expired.

Consequences of withdrawal: If you withdraw from this contract, we will reimburse all payments received from you without undue delay and no later than 14 days from the day on which we receive your notice of withdrawal, using the same means of payment you used for the initial transaction, unless expressly agreed otherwise; in no event will you be charged any fees for this reimbursement. If you requested that coaching services begin during the withdrawal period, you must pay us an amount proportionate to the services provided until you informed us of your withdrawal.

Early expiry for digital content (CommuniCore): Your right of withdrawal expires if we have begun providing access to the WebLAB after you have expressly consented to the start of performance before the end of the withdrawal period and confirmed your knowledge that you thereby lose your right of withdrawal.

Early expiry for services (CommuniCoach): Your right of withdrawal expires when the service has been fully performed and we began performance only after you gave your express consent and acknowledged that you will lose your right of withdrawal once we have fully performed the contract.

The information required under the Act on Specified Commercial Transactions is available on our page "特定商取引法基表記" (Japanese Legal Notice).

Mandatory consumer protection provisions of the country in which the Consumer has their habitual residence remain unaffected by these Terms.

18. Governing Law and Jurisdiction

  • Contracts with Communicue K.K. are governed by the laws of Japan; the exclusive place of jurisdiction is the Tokyo District Court.
  • Contracts with Communicue Pte. Ltd. are governed by the laws of Singapore; the exclusive place of jurisdiction is the courts of Singapore.
  • The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
  • For Consumers, the choice of law and place of jurisdiction apply only to the extent that they do not deprive the Consumer of the protection of mandatory provisions of the law of their country of residence.

19. Final Provisions

  • Changes to these Terms: We may amend these Terms for future contracts. Changes to existing contracts require the customer's consent.
  • Language: These Terms are available in English, German and Japanese. In the event of discrepancies, the English version prevails.
  • Severability: Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall not be affected.
  • Written form: Amendments and supplements must be made in writing; email is sufficient.
